Welcome to LegalEdge Innovators. These Terms of Service ("Terms") govern your access to and use of the LegalEdge Innovators platform, website, applications, and related services (collectively, the "Services") provided by LegalEdge Innovators, Inc. ("LegalEdge," "we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
LegalEdge Innovators provides a legal technology platform that assists attorneys and legal professionals in constructing legal documents through intelligent automation. Our platform ingests client data and generates ordered selections of legal provisions ("legal plans") to create deterministic workflows for document construction. Our knowledge architecture integrates statutes, court opinions, learned treatises, and attorney expertise into a unified database system designed for precision retrieval and contextual discovery.
Important Notice: LegalEdge Innovators is a technology company, not a law firm. We do not provide legal advice, legal opinions, or legal representation. The Services are tools designed to assist licensed attorneys in their practice. All legal documents generated through our platform should be reviewed and approved by a qualified attorney before use. Use of the Services does not create an attorney-client relationship between you and LegalEdge Innovators.
To use the Services, you must be at least 18 years old and have the legal capacity to enter into binding contracts. If you are using the Services on behalf of a law firm, legal department, or other organization, you represent that you have the authority to bind such entity to these Terms.
The Services are designed for use by licensed attorneys and legal professionals. By using the Services, you represent that you are a licensed attorney in good standing in at least one jurisdiction, or that you are using the Services under the supervision of a licensed attorney.
To access certain features of the Services, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and to update such information as necessary to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.
You may not share your account credentials with others or allow others to access your account. Each user must have their own account. We reserve the right to suspend or terminate accounts that we reasonably believe are being shared or used in violation of these Terms.
The Services, including all content, features, and functionality (including but not limited to software, code, algorithms, text, graphics, logos, icons, images, and the selection and arrangement thereof), are owned by LegalEdge Innovators or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your internal business purposes. This license does not include any right to: (a) modify, copy, or create derivative works of the Services; (b) reverse engineer, disassemble, or decompile the Services; (c) sublicense, sell, resell, transfer, or distribute the Services; or (d) use the Services to build a competitive product or service.
You retain ownership of any content, data, or materials that you upload, submit, or transmit through the Services ("Your Content"). By uploading Your Content, you grant us a non-exclusive, worldwide, royalty-free license to use, copy, process, and store Your Content solely to the extent necessary to provide the Services to you.
You represent and warrant that you have all necessary rights to Your Content and that Your Content does not infringe the intellectual property rights or other rights of any third party.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

Our collection, use, and disclosure of personal information in connection with the Services is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our collection and use of personal information as described in the Privacy Policy.
We understand that the data you process through our Services may include confidential and sensitive information. We maintain appropriate technical and organizational measures to protect Customer Data against unauthorized access, alteration, disclosure, or destruction.
We will not access, use, or disclose Customer Data except: (a) as necessary to provide the Services; (b) as required by law; (c) as expressly permitted by you; or (d) to prevent fraud or address technical issues.
You are solely responsible for the accuracy, quality, and legality of Customer Data and the means by which you acquired Customer Data. You represent and warrant that you have obtained all necessary consents and authorizations for the collection and processing of Customer Data through the Services.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THAT ANY DEFECTS WILL BE CORRECTED OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
AI-Generated Content Disclaimer: The Services may use artificial intelligence and machine learning technologies to assist in document generation and legal research. AI-generated outputs may contain errors, omissions, or inaccuracies. You acknowledge that all outputs from the Services must be reviewed by a qualified attorney before use and that you are solely responsible for verifying the accuracy and appropriateness of any documents or legal provisions generated through the Services.
Certain features of the Services may require payment of fees. All fees are stated in United States dollars unless otherwise specified. You agree to pay all applicable fees in accordance with the pricing and payment terms presented to you for the Services.
We may change our fees at any time upon thirty (30) days' prior notice. Your continued use of the Services after the effective date of a fee change constitutes your agreement to pay the updated fees.
All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law. If you dispute any charges, you must notify us in writing within thirty (30) days of the date of the charge.
These Terms remain in effect until terminated by you or us. You may terminate your account at any time by contacting us at support@legaledgeinnovators.com.
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.
Upon termination, we will make your Customer Data available for export for a period of thirty (30) days. After this period, we may delete your Customer Data in accordance with our data retention policies.
The following sections survive termination: Intellectual Property Rights, Disclaimers and Warranties, Limitation of Liability, Indemnification, and General Provisions.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEGALEDGE INNOVATORS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless LegalEdge Innovators and its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of any third party.
These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.
Any dispute arising out of or related to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Cook County, Illinois. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and LegalEdge Innovators regarding the Services and supersede all prior agreements and understandings.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Services prior to the effective date of the changes. Your continued use of the Services after the effective date constitutes your acceptance of the modified Terms.
